These Terms of Service ("Terms") govern your use of the services provided by ValueMedia Global LLC ("VMG AI", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

VMG AI provides AI-powered business automation services including AI receptionists, AI sales agents, and AI marketing tools ("Services"). We make commercially reasonable efforts to deliver the Services as described, but do not guarantee specific outcomes, results, or performance metrics.

2. Setup Fee & No Refund Policy

All payments are non-refundable. This includes the one-time setup fee, monthly subscription fees, and any other charges. Once payment is received, work begins immediately on your custom configuration. We do not offer refunds, partial refunds, prorated refunds, credits, or chargebacks for any reason, including but not limited to:

  • Change of mind
  • Dissatisfaction with the AI's performance
  • Lost leads, missed calls, or missed business opportunities
  • Technical issues, downtime, or service interruptions
  • Cancellation of your subscription
  • Failure to use the Services

You may cancel your subscription at any time, but you will not receive a refund for the current billing period.

3. Subscription & Billing

Subscriptions auto-renew monthly unless cancelled before the renewal date. The first 30 days are free. After the trial, your selected tier is charged monthly. We reserve the right to adjust pricing with 30 days notice. Founder pricing is locked for 12 months from sign-up.

4. Limitation of Liability

To the maximum extent permitted by law, VMG AI is not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including but not limited to:

  • Lost revenue, profits, customers, or business opportunities
  • Lost or mishandled leads, calls, appointments, or sales
  • AI errors, miscommunications, hallucinations, or incorrect responses
  • Service downtime, outages, or interruptions
  • Damages caused to your reputation, customer relationships, or brand
  • Any loss arising from reliance on the AI's actions or output
  • Failure of the AI to book appointments, qualify leads, or convert customers
  • Errors in CRM integration, calendar sync, SMS delivery, or third-party services

You acknowledge that AI systems are imperfect and may make mistakes. You are solely responsible for monitoring the AI's performance and for any business decisions you make based on its output. Our total cumulative liability to you for any and all claims shall not exceed the amount you paid us in the most recent month.

5. No Guarantees

We do not guarantee:

  • Specific call answer rates, booking rates, or conversion rates
  • That the AI will correctly handle every call or scenario
  • Increased revenue, leads, or customers as a result of using our Services
  • Compatibility with all third-party CRMs or systems
  • Continuous, error-free, or uninterrupted service

6. Your Responsibilities

You are responsible for:

  • Reviewing and monitoring AI-generated content, calls, and actions
  • Ensuring compliance with all applicable laws (TCPA, GDPR, CCPA, telemarketing rules, etc.) when using the AI to contact customers
  • Obtaining proper consent from individuals contacted by the AI
  • The accuracy of the information you provide for AI training
  • Following up on missed AI bookings or errors
  • Securing your account credentials

7. Acceptable Use

You may not use the Services to engage in illegal activity, harass others, send spam, defraud customers, or violate any third-party rights. We reserve the right to suspend or terminate your account for violations without refund.

8. Termination

We may terminate or suspend your account at any time, with or without notice, for any reason. You may cancel your subscription at any time. Upon termination, no refunds will be issued. Your data may be deleted 30 days after termination.

9. Indemnification

You agree to indemnify and hold harmless VMG AI, its founders, employees, and affiliates from any claim, demand, loss, liability, damage, or expense (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

10. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration. You waive your right to participate in any class action lawsuit against VMG AI.
